End User License Agreement

This End User License Agreement (“EULA”) is between you and Red Phoenix Team OÜ, registry code 17501315, Sepapaja tn 6, 15551 Tallinn, Estonia (“we”), the publisher of the Ashigrain OpenFX plugin for Mac (“the Software”). By installing or using the Software you accept this EULA. Your purchase is governed by the Terms of Sale. The Ashigrain app for iPhone and iPad is not covered by this EULA (see the Terms of Sale).

License grant

When you buy Ashigrain, a license is added to your Ashigrain account and we grant you a single-user, non-exclusive, non-transferable, perpetual license to install and use the Software:

  • for one natural person (you), for personal or commercial work, including client work;
  • on one Mac at a time that you own or control. You may install the Software on other Macs, but the license is active on only one of them at any moment;
  • for every release of the Software, including all future updates and new major versions.

Trial mode

Without an active licence on the Mac, the Software runs in trial mode with all controls available and an “ASHIGRAIN TRIAL” watermark on renders. You may use trial mode free of charge to evaluate the Software. Trial output is not licensed for delivery to clients.

Activation through your account

You need an Ashigrain account to buy, download and activate the Software.

  • Activation: you activate a Mac from inside the Software. It opens our website in your browser, where you sign in to your account and approve that Mac. This needs an internet connection.
  • Renewal: each time a host application loads the Software while the Mac is online, the Software renews its activation with our server in the background. Rendering never waits for it.
  • Offline use: each renewal is valid for 30 days. If the Mac stays offline, the Software keeps working for up to 30 days after its last successful renewal, then falls back to trial mode until it can renew again.
  • Moving to another Mac: you can move your license yourself, as often as you need. Approving a new Mac deactivates the previous one. You can also deactivate a Mac from the Software or from your account page, for example when the Mac is sold or lost.

The Privacy Policy lists what the Software sends to our server during activation and renewal.

If a purchase is refunded or charged back, or you delete your account, the license is revoked and download access ends (see the Refund Policy). Your right to use the Software ends at the same time. The Software stops working as a licensed copy at its next online check, and at the latest 30 days after its last successful renewal.

Restrictions

You may not:

  • share, sell, rent, lend or otherwise redistribute the Software, its installer, your account credentials or your activation;
  • let someone else use your account, or use an account or activation belonging to someone else;
  • copy the activation data stored on one Mac to another Mac;
  • remove or circumvent the trial watermark, the activation or the license check;
  • reverse engineer, decompile or disassemble the Software, except to the extent the law expressly allows it despite this restriction.

Ownership

The Software is licensed, not sold. We keep all rights not expressly granted in this EULA. You retain all rights to the images and videos you process with the Software. We claim no rights to them.

Updates

Your purchase includes all future updates and new major versions at no extra cost. Download them from your account; no upgrade payment is required.

We determine the timing and scope of new features and improvements. Separately, we provide the updates needed to keep the Software in conformity with what you bought, including security fixes, for as long as the law requires. You choose whether to install an update; if you do not install an update we provide for conformity, we are not responsible for a lack of conformity that the update would have fixed.

Availability of the activation service

Activation and renewal use our server. The 30-day offline period lets you continue working during temporary outages while we restore service. If we ever decide to shut the activation service down permanently, we will announce it at least 90 days in advance and, before it goes offline, release an update of the Software that works without activation for licenses that are active at that time.

Conformity and warranty

We are responsible, under the law that applies to you, for the Software being in conformity with its description on our website and in its documentation. If it is not, write to us and we will fix it within a reasonable time; if we cannot, you are entitled to a price reduction or a refund as the law provides. As a consumer in the EU you have these statutory rights for digital content for at least two years from supply.

Beyond those rights, the Software is provided “as is”. Film stock emulations are artistic approximations of the published characteristics of real stocks; they are not guaranteed to match any particular stock, batch or laboratory process. Results depend on your footage, host application and settings. Keep backups of your projects.

Limitation of liability

We are not liable for indirect or consequential loss, lost profits or lost data arising from use of the Software, and our total liability is limited to the price you paid for your license. These limits do not apply to damage caused intentionally or by gross negligence, to personal injury, or wherever the law does not allow liability to be limited, and they do not restrict your statutory rights as a consumer.

Termination

This EULA ends automatically if you materially breach it, if your purchase is refunded or charged back, or if you delete your account. On termination you must stop using the Software and delete it. The sections on ownership, liability and law continue to apply.

Law

This EULA is governed by the law of the Republic of Estonia. If you are a consumer, you keep the protection of the mandatory rules of the country where you live, and you may bring a claim in its courts. Otherwise, disputes go to Harju County Court (Harju Maakohus) in Tallinn.
